Contracts: Force Majeure Clauses and Cancellation/Termination Issues

Contract law permits the parties to a contract to agree on risk allocation in the contract terms. One of the ways this is accomplished is through force majeure clauses, which can excuse performance by one or both parties. This webinar will focus on whether a force majeure clause is necessary in a contract, and if so, considerations in drafting the clause. This includes outlining general pitfalls to avoid when drafting the clauses.

The COVID-19 pandemic has highlighted the importance of force majeure clauses. The webinar will also discuss the applicability of force majeure clauses to the COVID-19 pandemic, and how to draft force majeure clauses in light of the pandemic.
